Terms of Service

These terms are the contract between you and Ottoleads Systems LLC, a limited liability company organized in Wyoming, United States (“Voxly”, “we”, “us”). By creating an account or using the app, you accept them. If you don’t agree, don’t use the service.
1. What Voxly is
Voxly turns your voice into ready-to-send text: it transcribes what you dictate, cleans up filler words, and adjusts the tone based on the app you’re writing in. It runs on top of other apps on your phone through a floating bubble.
It needs an internet connection to work: transcription happens on our servers, not on your device.
2. Your account
You must be at least 13 years old (16 if you’re in the European Economic Area or the United Kingdom) and have the legal capacity to accept this contract. If you accept it on behalf of a company, you represent that you have the authority to bind it.
You’re responsible for the activity on your account and for keeping your password safe. Notify us immediately if you suspect unauthorized access. You must give us truthful information and keep it up to date.
3. Plans, billing, and cancellation
Free. Free of charge, with a limit of 1,200 words per day.
Pro. 14.99 USD per month, with a limit of 50,000 words per day. Billed in advance and renews automatically every month until you cancel.
Cancellation. You can cancel anytime from govoxly.app/cuenta. Cancellation takes effect at the end of the period already paid for: you keep Pro until that date and won’t be charged again.
Refunds. Payments are non-refundable unless the law of your jurisdiction provides otherwise. If something went wrong on our end, write to us: we review case by case and act with common sense.
Price changes. We may change prices by giving you at least 30 days’ notice by email. The new price applies on your next renewal; if it doesn’t work for you, you can cancel before then.
Taxes. Prices don’t include applicable taxes, which will be added when they apply.
Payments are processed by Stripe; the handling of your payment data is also governed by its terms.
4. Usage limits
Daily limits are measured in words of the final text and reset every day at 00:00 UTC. Once reached, dictation pauses until the next cycle or until you upgrade your plan.
Limits protect the service from abuse. We may adjust them by giving you reasonable advance notice, and may suspend accounts whose usage harms system stability or appears automated.
5. Acceptable use
You may not use Voxly for:
- Illegal activities, or to produce content that infringes third-party rights.
- Recording people without their consent when the law requires it. This is your responsibility: recording laws vary by country and state.
- Dictating content that constitutes harassment, threats, incitement to hatred, or exploitation of minors.
- Reselling, sublicensing, or redistributing the service, or building a competing product from it.
- Reverse engineering, automated extraction from our systems, or circumventing limits or authentication.
- Sharing a single account among multiple people.
We may suspend or close accounts that violate this section. If the violation is serious, we may do so without prior notice.
6. Your content
What you dictate is yours. We claim no ownership over your audio or the resulting text.
You grant us only the technical license necessary to process your audio and return the text to you: transcribing it, cleaning it up, and transmitting it. Nothing more. That license ends when the processing ends, because we don’t retain your audio or your dictations.
We do not use your content to train artificial intelligence models, nor do we allow our providers to do so.
You’re responsible for having the right to dictate what you dictate and for the consequences of how you use the text you produce.
7. Text accuracy and automated decisions
Voxly uses speech recognition and language models. These technologies make mistakes: they can mistranscribe, change the meaning of a sentence, or alter names and figures.
Always review the text before sending it, especially in medical, legal, financial communications, or any context where an error matters. Voxly is an assistance tool, not a substitute for your judgment. We are not responsible for the consequences of sending unreviewed text.
8. Our intellectual property
The software, the Voxly brand, the design, the mascot, and all product content are ours or our licensors’. We grant you a personal, limited, revocable, and non-transferable license to use the app in accordance with these terms. No other right is transferred.
9. Service availability
We work to keep Voxly available, but we don’t guarantee uninterrupted or error-free operation. There may be maintenance, failures from our providers, or disruptions beyond our control.
We may modify or discontinue features. If we discontinue the service entirely, we’ll notify you at least 30 days in advance and refund the unused prorated portion of your subscription.
10. Warranties
The service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all implied warranties, including those of merchantability, fitness for a particular purpose, non-infringement, and accuracy of results.
Some jurisdictions don’t allow the exclusion of certain warranties; in that case, exclusions apply only to the extent the law permits, and your legal rights as a consumer remain intact.
11. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, punitive, or consequential damages, or for loss of profits, data, opportunities, or reputation.
Our total cumulative liability arising from the service is limited to the greater of: (a) what you paid us in the 12 months prior to the event giving rise to it, or (b) 100 USD.
These limits do not apply to what the law does not allow to be limited, such as willful misconduct or gross negligence.
12. Indemnification
You will hold us harmless from third-party claims arising from your use of the service, your breach of these terms, or your violation of others’ rights, including reasonable attorneys’ fees.
13. Termination
You can close your account whenever you want. We may suspend or close it if you breach these terms, if your use puts the service at risk, or if we stop operating.
Upon termination, your access is revoked and your data is deleted in accordance with the Privacy Policy. The sections on intellectual property, warranties, liability, indemnification, and governing law survive termination.
14. Governing law and dispute resolution
These terms are governed by the laws of the state of Wyoming, United States, without regard to its conflict-of-laws rules.
Before going to court, you agree to write to us at [email protected] to try to resolve the matter in good faith for 30 days. If it’s not resolved, disputes will be submitted to the competent state or federal courts in Wyoming, and both parties accept that jurisdiction.
If you are a consumer in the European Union, the United Kingdom, or Mexico, this clause does not deprive you of the rights or courts that the mandatory law of your country of residence grants you.
15. Changes to the terms
We may update these terms. If the change is material, we’ll notify you by email or within the product at least 30 days in advance. Continuing to use Voxly after that date means you accept the new version.
16. Miscellaneous
If a clause is found invalid, the rest remains in effect. Our failure to exercise a right does not mean we waive it. You may not assign this contract without our consent; we may assign it as part of a merger or acquisition. These terms, together with the Privacy Policy, are the entire agreement between the parties.
